Abstract
무상증자와 주식배당은 무상주 발행수단으로 자본계정 내의 항목 대체를 통해 이루어진다는 공통점을 가지고 있다. 두 정책은 재무상태표의 순자산에는 아무런 영향을 주지 않음에도 불구하고 국내에서 빈번 실시되어 왔으며 각 재무정책의 실시동기에 대하여 초과수익률을 중심으로 선행연구들이 이루어졌다. 하지만 기업이 서로 다른 재무정책을 선택하게 되는 결정요인 및 그 효과에 대한 비교연구는 미비한 실정이다. 이에 본 연구는 2000년부터 2017년까지의 기간 동안 무상증자와 주식배당을 공시한 기업을 대상으로 공시정보가 주가 수익률에 미치는 효과를 검증하고 기업의 특성과 공시효과와의 관계 및 두 재무정책의 공시효과를 비교분석하였다. 그 결과 무상증자를 실시한 기업들과 주식배당을 실시한 기업들의 재무적 특성에 유의한 차이가 있음을 확인하였고 두 정책 모두 공시일 전 후로 유의적인 초과수익률을 발견하였다. 누적초과수익률과 기업의 특성과의 관계에 대한 실증연구 결과, 무상증자의 경우 기업의 크기가 작고 부채비율이 높을수록 비정상초과수익률이 높았고 주식배당의 경우 최대주주의 지분율이 낮고 증자비율이 클수록 비정상초과수익률이 높음을 확인하였다. 또한 공시효과가 공시일을 포함한 주변일의 비정상누적초과수익률이라는 일반적인 전제하에 무상증자가 주식배당의 공시효과보다 더 큰 것을 알 수 관찰하였다. 반면 순수한 공시효과의 검증을 위해 두 재무정책의 공시일 전과 후의 초과누적수익률을 비교한 이중차분법(DID)분석 결과 무상증자 및 주식배당의 공시했을 때 그 효과에는 유의한 차이가 없는 것으로 관찰되었다. ;This paper examines free-bonus issue and the stock dividends in the Korean markets. They are common as a means of issuing free shares by the replacement of items within the capital account. It is noted that although free-bonus issue and the stock dividends are similar financial policies in terms of economic entities, the responses of the market may differ and the preferred policies may differ depending on the characteristics of the company. Using the dataset consisting of the sample firms listed in the KOSPI and KOSDAQ from 2000 to December 2017, this study comparatively analyzes the effects of information disclosures. The empirical findings show that there are significant differences between the financial characteristics of the companies that made the free-bonus issue and those that conducted the stock dividends and that the markets positively reacts to both methods. In the case of free-bonus issue, excess returns tended to be higher when the firm was smaller in size with a higher debt ration. With stock dividends, excess returns also tended to be higher when the share ration of the largest stakeholder was lower and the ratio of capital increases were higher. In addition, the results reveal that the reaction to announcements measured by CAR(-1,1) and CAR(-2,2) in free-bonus issue is more positive than the reaction of stock dividends. On the other hand, a DID analysis comparing the abnormal cumulative return rates before and after the date of disclosure of the two financial policies for the purpose of verifying the net disclosure effects showed no significant difference in the effects of the disclosure of free-bonus issue and the stock dividends.
