Abstract
기술발달의 속도가 급격히 증가함에 따라 기술대체의 기간이 짧아지고, 상호 의존적인 지식의 작은 단위들이 각각 특화되는 현대 산업의 특성은 동일분야에 수많은 특허가 존재하는 특허덤불(patent thicket) 현상을 낳았다. 특허덤불은 특허침해의 위험과 거래비용의 증가, 기술보급의 지연 등 다양한 문제를 초래한다. 기술발달과 이용촉진에 기여하는 순기능적 측면에도 불구하고, 최근 특허덤불로 인한 문제로 인해 특허제도에 대한 회의론 내지는 재고의 시각이 많아지고 있다. 이와 관련하여 제약산업에는 기업의 수익원천인 블록버스터 의약의 다수가 특허권이 만료되었거나 만료되는 상황에서 새로운 수익창출모델로서 에버그리닝(evergreening) 전략이 문제로 되고 있다. 기본 발명을 기초로 제2의 용도로써 수많은 특허를 획득하여 기본발명에 대한 특허보호가 계속 연장되는 효과를 주는 에버그리닝은 혁신이 감소되어 제약산업의 발전을 저해한다. 뿐만 아니라 특허의약품의 높은 가격으로 일반 소비자나 환자는 비용지출을 부담해야 하기 때문에 한 국가의 의료정책에도 적지 않은 부담이 되고 있다. 이 논문은 에버그리닝과 관련하여 의약품 분야에서 발생하는 특허권 남용행위를 크게 3가지로 나누고 있다. 즉, 오리지널제약회사와 제네릭제약회사간의 ‘역지급합의(reverse payment settlements)’, 무효사유가 있는 특허권에 기초한 특허권침해소송의 제기, 그리고 필수의약품에 대한 접근성을 제한하는 특허권의 불실시로 나누고, 각각의 남용행위들이 제약산업에 미치는 영향과 이에 대한 대응책을 모색한다. 역지급합의에 대하여 미국 연방거래위원회(Federal Trade Commission, FTC)는 경쟁력 있는 의약을 시판할 수 있는 제네릭사업자의 영업활동을 제한하고, 소비자의 복리후생에 부정적인 영향을 미치는 경쟁제한 행위로 보고 있다. 역지급합의에 대한 미국 법원의 판단은 특허권범위(scop-of-patent test)로 보는 견해와, 경쟁제한성 심사가 필요한 공동행위라는 견해로 나뉘어 있다. 최근 미국 연방대법원은 FTC v. Actavis, Inc.사건에서 역지급합의의 반경쟁적 효과가 특허의 배타권(exclusivity right)의 범위에 속한다는 주장을 거절하였다. 연방대법원은 특허분쟁을 합의로 종결하는 것은 일반적으로 지지되지만 경쟁자의 시장진입을 방해하기 위해 큰 금원을 지급하고 소송을 종결하는 것은 해치-왝스만법(Hatch-Waxman Act)에 위배된다고 판결하였다. 또한 FTC가 주장한 일별심사(약식심사, quick look)기준이 아닌 합리의 원칙(rule of reason)에 따라 역지급합의의 위법성을 판단해야 한다고 판시하였다. 한편, 특허권에 무효사유가 있는 경우 이러한 특허권에 기초해서 특허권침해소송을 제기하는 것이 권리남용인지에 관한 문제가 있다. 미국은 이러한 경우를 경쟁법위반의 기망적 소송(sham litigation)으로 다루고 있다. 우리나라는 ‘특허의 무효심결이 확정되기 이전이라도 특허권침해소송을 심리하는 법원은 특허에 무효사유가 있는 것이 명백한지 여부에 대하여 판단할 수 있고’, 심리결과 무효사유가 분명한 때에는 그러한 특허권에 기초한 청구는 권리남용에 해당되어 허용할 수 없다는 대법원 판결이 있었다. 이에 따라 우리나라에서도 특허침해소송에서 권리남용항변이 가능하게 되었으나, 대법원 판결은 무효사유가 명백한 경우로 한정하고 있다. 따라서 특허권에 무효사유는 없지만 특허권의 행사가 특허권의 범위를 벗어나거나 또는 독점금지법을 위반하는 경우에도 권리남용의 항변이 인정될 필요성이 제기되고 있다. 한-미 FTA 발효로 우리나라도 미국의 해치-왝스만법 절차인 허가-특허 연계제도를 2015년 3월 15일부터 시행예정이고, 미국에서 주로 발생하는 역지급합의가 우리나라에서도 우려되고 있다. 이에 대응하기 위해 침해소송에서 권리남용의 항변을 보다 넓게 인정하여 신속한 법률관계 해결과 소송경제를 확보할 필요가 있다. 제약회사의 특허권 불실시로 인해 빚어지는 필수의약품에 대한 접근성 약화에 대응하여 강세실시제도를 활용할 수 있다. 그러나 강제실시는 자발적 실시를 방해하여 기술이전의 위축과 연구의욕 저하라는 냉각효과를 가져올 수 있다. 대형 다국적 제약회사가 위치하고 있는 선진국은 다른 나라의 강제실시로 인해서 자국의 제약산업이 위축될 것을 염려하여 통상압력을 행사하거나, 양자간 FTA을 통해 의약특허에 대한 보호수위를 높이고 있다. 이로 인해 국제정치·경제에 취약한 저개발국가와 개발도상국은 필수의약품이 절실한 상황에서도 강제실시제도 활용에 소극적이다. 강제실시는 실시의 범위 및 시적 한계가 있고 무엇보다 발명에 대한 인센티브에 부정적인 영향을 미칠 수 있다. 의약품 개발에 장기간의 막대한 비용이 투자되는 현실을 감안할 때 이러한 발명의식의 고취는 매우 중요한 부분이라 하겠다. 따라서 필수의약품을 포함한 의약품에 대한 접근성 강화, 특허권자의 권리보호, 신약개발에 대한 투자유인을 제공할 수 있는 대안으로 의약품 특허풀을 들 수 있다. 의약품 분야에서는 특허풀이 덜 활성화되었지만 국제기구를 중심으로 필수의약품과 관련한 특허풀이 다수 운용되고 있어, 민간업체간 특허풀로 확대될 가능성이 있다. 의약품 특허풀의 활성화를 위해서 산업의 특성을 고려한 정책적 배려도 요구된다.; In the pharmaceutical industry, some blockbuster drugs have gone off patent. In this respect, evergreening which is a profit source has emerged as a new issue. Evergreening is achieved by seeking extra patents on variations of the original drug and thus has the same effect as extension of the existing patent protection. Many members of the generic pharmaceutical industry argue that such practices are anticompetitive. Furthermore, it is highly burdensome for national healthcare system since general consumers and patients should pay much higher prices for expensive patented drugs. This paper approaches patent misuses with regard to evergreening mainly in three aspects. In other words, the paper divides patent misuses into ‘reverse payment settlements' between original pharmaceutical companies and generic companies, patent infringement lawsuits based on patent with the grounds for invalidation, and non-practicing of patents that restrict access to essential medicines. Also, the paper seeks to identify what impact each misuse has on the pharmaceutical industry and how to respond. The U.S Federal Trade Commission considers reverse payment settlements as anti-competitive activities with adverse effect on consumer's welfare and public interest as it restricts would-be generic companies' business so that competitive drugs keep out of the market. The U.S courts are divided as to reverse payment settlements in judging whether it falls within the scope-of-patent or it is anti-competitive practice. The U.S Supreme Court has recently declined the claim in FTC v. Actavis. Inc. case that the reverse payment settlements were within the scope of the patent. The Court stated that it would be usual to settle disputes with agreement in principal but large payment made with a view to settling disputes and thus thwarting would-be competitors' entering the market runs counter to the Hatch-Waxman Act which gives the first generic applicant 180-day exclusivity. The Supreme Court held that the reverse payment settlements must be analyzed under the rule of reason standard not a quick look as claimed by FTC. Sham litigation is predatory or abusive litigation before administrative or judicial courts by firms that have no reasonable grounds for their claims but anticipate that the costs of litigation will be lower in relation to the benefits to be obtained from the delay of the entrance of a competing product on the market during the period of the litigation. Sham litigation is an anticompetitive practice, subject to the scrutiny of competition laws in the U.S. In Korea, there was a Supreme Court precedent that filing of a lawsuit based on patent rights with invalid causes falls within patent misuse. This paves the way for a misuse defense in Korea also but the Supreme Court limits the misuse defense only to the cases where there are obvious grounds for invalidation. Therefore, it is questionable of whether reverse payment settlements or patent trolls' claims fall within a misuse defense. As patent linkage system is adopted as Korea-US FTA goes into effect, there is concern regarding potential lawsuits and reverse payment settlements brought by big-name drug manufacturers against domestic companies. Accordingly, there needs to secure swift legal settlement by recognizing widespread misuse defense in infringement lawsuits. Compulsory licensing has been put in place with regards to insufficient access to essential drugs coming from non-practicing of patents of drug manufacturers. A compulsory license has also cooling effects by disturbing voluntary licensing, constricting technology transfer, and incentives to innovation. Therefore, one solution is to utilize medicines patent pools as a means to improve access to medicine including essential drugs, protect patent holders' right and provide investment and incentives for innovative drug development.
