Key success factors in joint ventures

Abstract

이 논문은 치열한 세계 경쟁 속에서 생존 전략의 하나로 많은 기업이 모색하고 있는 다국적 기업간의 성공정인 전략적 제휴를 위한 합작투자(Joint Venture)사의 성공요인을 분석하고자 하였다. 한국의 LG 전자와 네덜란드의 Philips 전자간의 99 년 합작투자 사업의 성과를 측정하기위해 기존의 기사 및 논문에서 발췌한 합작투자 성공 요인과 비교 분석하였다. LG 전자와 Philips 전자간의 합작투자 사업을 통해 어떤 시너지 효과를 가져왔는지를 분석하기위해 다음과 같은 가설을 검증하였다. 첫째, 파트너간의 상호교류가 합작투자 성공에 어떤 영향을 끼쳤는가? 둘째, 파트너 일방에 의한 지배경영(Dominant management)과 공동경영(shared management)이 성공적인 합작 투자에 얼마나 기여하고 있는가? 셋째, 파트너 회사간의 적절한 자원과 역량 배가 합작투자에 끼친 영향은 무엇인가? 넷째, 신규 합작투자회사의 독립성(autonomy)이 합작투자를 성공적으로 만드는데 기여하고 있는가? 다섯째, 파트너간의 학습(learning) 이 합작투자 성공에 긍정적인 영향을 미치는가? 위 이론들은 LG Philips LCD 재무담당 부장과의 인터뷰 및 자료 조사를 동해 검증되었다. 분석결과 대부분의 이론들이 LG Philips LCD 의 성공적인 성과에 많은 기여를 한 것으로 나타났다. 단일 회사 분석을 통한 결과라는 한계가 있기는 하나 이 사례 분석을 통해 한국 내에서 성공적인 합작투자를 모색하는 기업에게 성공요인에 대한 길잡이가 될 수 있기를 희망한다.;The purpose of the thesis is to assess validity of joint venture success factors, leading to promotion of knowledge-based industries through cross-border strategic alliances. More specifically, the thesis is to examine success factors of LG Philips LCD through verification of various hypotheses. The thesis sets up the hypotheses for testing whether or not LG Philips LCD succeeded in realizing synergies by putting together LG Electronics and Philips. And those hypotheses are as follows: First, does the inter-personal interaction between partner firms have a positive effect on joint venture success? Second, is the Dominant parent venture more likely to have a positive effect on joint venture success than shared management joint venture? Third, is the complementary contribution of critical resources and competence a positive factor of successful joint venture? Forth, does autonomy have a positive effect on successful joint venture? Fifth, in what way does the learning between partner firms affect the joint venture success? Above hypotheses are verified by the interview with the financial director of LG Philips LCD and secondary data research. And the result of the study depicts most of hypotheses are supported in LG Philips LCD case. Therefore, despite of the limitation of a case study, I hope the thesis provides an insight into what critical factors contribute to successful joint venture in Korea.
