Abstract
본 논문은 2000년 이후 급증하고 있고 최근까지도 논의의 대상이 되고 있는 연예인과 기획사간 불공정계약을 개선하기 위하여 ‘증세-원인-치유’라는 삼단논리에 따라 불공정계약의 현황을 알아보고, 이에 대한 원인을 분석한 뒤 바람직한 치유방안을 모색하고자 하였다. <연구문제1>에서는 연예인과 기획사간 불공정계약의 원인을, <연구문제2>에서는 연예인과 기획사간 불공정계약을 최소화할 수 있는 치유방안을 연구하였다. 이제까지 연예인의 전속매니지먼트계약 문제가 법학적 관점에서 법적 해석만을 위주로 다루어졌던 데 비해, 연예매니지먼트산업 현직 종사자 및 관계자와의 심층인터뷰 등을 통해 이해 당사자의 입장에 대한 실증적 부분이나, 이들을 둘러싼 연예엔터테인먼트산업의 산업적?법제도적 구조 등 법적 해석만으로는 설명하기 어려운 부분에 대해 보완하고 있다는 점에 본 논문의 의의가 있다. <연구문제1>은 불공정계약에 대하여 구조적 측면의 원인과 계약측면의 원인으로 나누어 분석하였다. 구조적 측면은 다시 산업적 구조와 이를 통제하는 법제도적 측면으로 나누었다. 먼저 구조적 측면을 살펴보면, 기획사는 투자유치, ‘끼워 팔기’, 회사 이미지 제고 등의 효과를 위해 고액의 전속계약금 및 사업적 손해를 감수하면서도 스타 연예인을 영입하는 한편, 신인연예인과는 장기계약을 통해 회사의 실질적 수익을 창출하는 등 사업운영상의 부담을 신인 연예인이 함께 지는 형태의 기형적인 수익구조가 형성되어 있었다. 법제도적 측면을 살펴보면, 불공정계약의 현행 구제책인 법적 소송은 양 당사자 모두 연예산업의 특성상 판결이 확정되기까지 가는 경우가 드물고, 대부분은 소송취하 또는 비공개적인 조정으로 해결되는 경우가 많았으며 막대한 소송비용의 문제가 있었다. 또 다른 구제책인 공정거래위원회의 심사는 2002년 직권조사 시 심사대상 기획사에게 내려진 시정조치의 대부분이었던 시정권고가 법적 구속력이 없어 업계에서 현실적으로 기능을 크게 하지 못하고 있다고 판단되었다. 불공정계약 원인의 계약적 측면을 살펴보면, 불공정계약을 유발하는 산업적?법제도적 구조의 결과로 생긴 계약서가, 계약서 내 용어의 교묘한 장치들에 의하여 그 자체로서 또다시 불공정계약이 되게끔 하는 악순환을 일으키고 있었다. <연구문제2>는 불공정계약관행에 대한 치유방안에 대하여 구조적 측면의 치유방안과 계약적 측면의 치유방안으로 나누어 살펴보았다. 산업적 구조 차원에서의 치유방안으로서 매니지먼트 사업자에의 자격부여에 관해 논의하기 위해, 현재 계류 중에 있거나 거론되고 있는 법안들을 검토한 결과, 업계의 현실을 고려했을 때에는 사업자의 경력과 신용, 준법정신을 기초로 하는 ‘연예매니지먼트사업법’의 매니저 등록제가 현실성 있다고 판단되었다. 또, 연예인에게 불공정한 계약의 원인으로 지목되고 있는 전속계약금에 대하여 특별법으로 상한제를 지정하는 방안이나, 연예인 보수지급에 대한 선택적 월급제 역시 대안이 될 수 있을 것이다. 법제도적 구조의 치유방안으로는 공정거래위원회 시정조치 이후 사후관리 및 상시적인 감시 강화가 시급한 것으로 판단되었다. 이와 함께 이면계약 등의 부작용에 대한 감시와 상습적으로 불공정계약관행을 개선하지 않는 사업자들에 대한 시정조치강화 등이 함께 따라야 할 것이다. 계약적 측면의 치유방안을 위해서는 표준계약서 및 기획사가 계약서를 작성할 시 꼭 포함되어야 하는 ‘필수조항’의 도입을 제언하였다. 각 이해당사자의 입장이 충분히 고려되고 문화관광부에서 객관적이고 공정한 기준으로 제정한 일정요건의 필수조항이 기획사의 개별 계약서에 반드시 포함되도록 하고, 계약서의 내용을 사전에 문화관광부에 승인 받도록 하는 것이다. 끝으로, 이러한 법제도적 개선안과 병행되어야 할 것은 계약당사자들의 인식전환이다. 기획사와 연예인이 신뢰를 바탕으로 서로의 입장을 이해하고 존중하지 않는다면 법제도적인 개선방안만으로는 연예인과 기획사간 불공정계약관행 문제는 근절될 수 없기 때문이다.;This article aims to examine current situations in accordance with a syllogism of symptom-cause-treatment, analyze what made unfair contracts signed, and finally suggest desirable solutions, in order to help improve unfair contracts between entertainers and management firms, which have sharply increased since 2000 and become an issue causing discussion lately. Research Question 1 deals with causes for unfair contracts between entertainers and management firms, and Research Question 2 explores how to minimize such unfair contracts. Whereas until now, the issue of exclusive management contracts of entertainers has been dealt with, focusing on how to interpret from a legal perspective, the study is significant in that it tackled aspects of the contracts through in-depth interviews with employees and officials in the entertainment industry to investigate empirical aspects of positions of stakeholders or related industrial, legal and institutional structures of the business, which are hard to explain by legal interpretation alone. Research Question 1 analyzes causes of unfair contracts from both structural and contractual perspectives. The structural causes are further divided into causes of industrial structure and governing legal and institutional causes. First of all, as far as structural causes are concerned, management firms attracting star entertainers, willingly suffering a huge amount of exclusive contract money and business damages for attracting investors, ‘tie-in sale’, and raising corporate image, and enter into a long-term contract with new comers with the aim of creating substantial profits. This can be seen as a distorted profit structure in which business burdens are imposed on new comers. From legal and institutional perspectives, lawsuits as a remedy against unfair contracts rarely reach the final judgment, due to the nature of the industry, and in most cases, parties concerned withdraw a legal suit or the cases are settled down in a closed arbitration, resulting in enormous costs. As another remedy, reviews by the Fair Trade Commission (FTC) carry no legal binding force and are considered not to have a substantial effect in the industry in reality, as shown in recommendations given to management firms involved to correct unfair terms and conditions of the contracts as a result of investigation by authority back in 2002. From contractual reasons, tactful means using terms in the contract as a result of industrial and legal and institutional structure causing unfair contracts also create another unfair contract, like a vicious circle. Research Question 2 explores structural and contractual solutions to unfair contracts. As solutions of industrial structure, the study reviewed pending bills or those under discussion in relation with qualification of management business owners and considering the current situations of the industry, it is realistic to adopt the registration system of managers under the ‘Entertainment Management Business Law, based on the experience, credibility and observance of laws of the owners. In addition, regarding exclusive contract money, pointed out as a cause for such unfair contracts, contract money cap should be defined by a special law or optional monthly payment can be an alternative. To solve the problem from a perspective of legal and institutional structure, it seems to be need urgently that the FTC strengthen following management and regular supervision of management firms after giving orders of correction. In addition, along with supervision of side effects such as side contract, stricter orders of correction should be given to management firms which habitually do not improve the unfair practices. As a solution in terms of contract, introduction of standard contacts or ‘mandatory provisions’ necessarily included to the contract by management firms was suggested. Positions of all stakeholders should be taken into consideration fully in the process, mandatory provisions for certain requirements set out by the Ministry of Culture and Tourism in accordance with objective and impartial criteria should be included necessarily in individual contracts made by management firms, and details of the contracts should be approved in advance by the Ministry. Finally, together with these legal and institutional improvements, parties involved are required to change their attitudes. Only when management firms and entertainers understand and respect each other’s position based on mutual trust, these legal and institutional improvements can make a contribution to the elimination of the unfair contract practices between entertainers and management firms.
