現代의 株式會社의 行動動機에 관한 硏究

Abstract

現代資本主義를 움직이는 가장 중요한 經濟主體는 企業規模의 巨大화, 經濟機能의 세분화, 經營組織의 복잡화 등을 특징으로 하는 現代的 株式會社라고 할 수 있다. 그런데 이들 企業에서는 株式會社制度의 도입에 따른 柱式所有의 分散을 토대로, 所有와 經營이 분리되어 졌다. 따라서 現代的 株式會社에서 經營者는 所有의 支配로부터 벗어나, 자신의 活動動機를 추구할 수 있는 상당한 정도의 裁量權을 확보하게 되었다. 그런데 근래 각국에서의 企業結合을 통한 資本集中現象은 法人株主의 발생을 초래함으로써, 會社支配라는 企業支配構造를 가져오게 되었다. 이 단계에서 企業經營者는 經營者支配 段階에서의 비즈니스 리더쉽과는 별도로 母會社의 株主機能을 대행하는 권한을 추가로 행사하게 된다. 따라서 會社支配 段階의 現代的 株式會社에서는 經營者支配 段階에서와는 다른 行動動機가 나타나게 될 것이다. 본 論文은 現代的 株式會社가 추구하는 經濟活動의 動機를 고찰하는 데에 그 목적이 있다. 따라서 먼저 資本主義의 發展에 따른 企業組織의 변화와 企業의 所有 및 支配構造의 변화에 대하여 고찰하고 있다. 그리고 다음으로 企業支配의 각 段階에 대응하는 企業行動의 動機에 대하여 고찰하고 있다.;We can say that the most important agents which lead the economic behavior in modern capitalism are private corporations. These corporations assume the form of a joint-stock company and are controlled by the management. And recently it appears that a corporation is controlled by one corportaion or many corporations. The purpose of this thesis is to study on the behavioral incent-ives of these modern corportaions. First of all, it studied on the transition of industrial organization which is followed by the advancement in capitalism and the transition of ownership and control in the corporation. Lastly it studied on the behaviorial incentives which are followed by each form of control.
