Abstract
The purpose of this paper is to review the concept and main aspects of taxes that have characteristics and functions of sanction(hereinafter referred to as "tax penalty") and to address what its normative limitation is. This paper will discuss the corporate accumulated earnings tax(hereinafter referred to as "CAET"), which was adopted as Article 56 of the Corporate Tax Act and has been in effect since 2015, as a specified tax penalty to suggest how the normative limitation to the tax penalty is applicable and what its results will be. "Tax penalty" in this paper means any regulatory tax levied to restrict a taxpayer's behavior with intent to discourage socially undesirable activities, as one of measures to achieve certain policy goals. The term can be understood as the contrary to "tax benefit(tax incentive)", tax advantages to a taxpayer that reduce his or her burden with intent to encourage socially desirable activities. Certain behavior that triggers a tax penalty may be deemed undesirable or harmful for the interests of the society and the state. In this sense, tax penalty, even though its appearance is not different from the regular tax scheme, operates as another unfavorable burden on taxpayers whose behavior is to be criticized by the society. In other words, the characteristics of tax penalty are similar to those of sanction, which is a form of punishment that is utilized when one disobeys the law. This paper has the following structure. First, I will review the notion of tax penalty and the relevant constitutional principles as the major subject of study. For that purpose, the paper will discuss the concept and principles of 'tax' and 'penalty' respectively, which consist of the essential elements of tax penalty. The purpose of collecting state revenue has traditionally been thought as the nature of 'tax', not 'penalty', while that of punishment as the nature of 'penalty', not 'tax'. Nowadays, however, this distinction is not always clear and is sometimes blurred in the practice of law as it seems increasingly hard to draw the distinction between the classical and interventionist function of taxation. It has become generally agreed that market externalities can be corrected by the use of taxation. For instance, environmentally related taxes can be an effective and efficient instrument for environmental policy. Many environmentally related taxes contribute to environmental improvements by causing the price increase that curb the demand for the environmentally harmful products at issue. But the levy of such taxes seems the most likely tax penalty for a number of corporations involved in the industry. The Constitutional Court of Korea(hereinafter referred to as "the Court") has reviewed several cases involving the provisions of tax statutes which in their nature imply the penalty. In the cases relating to Article 45-2 of the Inheritance Tax and Gift Tax Act(constructive gift of trust property registered in the names of third parties), the Section 1 (4) of Article 28 of the Corporate Tax Act (non-inclusion of interest expenses on provisional payments to a related party with no connection to the business of the corporation), and the Section 1 (2) and (8) of Article 39 of the Value-Added Tax Act(Input tax amounts not to be deducted when the tax invoices issued have omitted information or are mistakenly filled (2), or before the business registration was filed (8)), the Court noted that the taxes levied according to the provisions above are a kind of penalizing measures with the intent of exerting social or economic control. The most representative provision among them is Article 45-2 of the Inheritance Tax and Gift Tax Act, which stipulates that where the actual owner of any property requiring registration, etc. in the transfer of exercise of the right thereto (excluding land and building) is different from the title holder of the property, the title holder shall be deemed to have received a gift equal to the value of such property from the actual owner, except for the case where the distinction was rendered without intention to evade tax. Through the exhaustive study of the relevant Constitutional Court cases, This paper identifies the standards of judicial review that have evaluated the normative limitation of tax penalty. From the feature of 'tax', on the one hand, the Court has reviewed whether tax penalty infringes on the principle of no taxation without law, the principle of equality(including the ability-to-pay principle), the substance-over-form doctrine, and the principle of systematic legitimacy. From the feature of 'penalty', the Court has applied the principle of proportionality, the principle of self-responsibility, due process of law, double jeopardy and etc. As a comparative study, the paper also examines a parallel issue on the U.S. Congress' taxing power. In the United States, judicial review applied to distinguish between a tax and a penalty has long been one of the important constitutional issues for the Supreme Court. Chief Justice Taft had written in Child Labor Tax Case (1922) that "[Taxes] do not lose their character as taxes because of the incidental motive, But there comes a time in the extension of the penalizing features of the so-called tax when it loses its character as such and becomes a mere penalty, with the characteristics of regulation and punishment." Although the Court has declined to closely examine the regulatory motive or effects of revenue-raising measures since 1937, Taft's Child Labor Tax Case principle has proven to remain good law when the Court distinguished a tax from a penalty for constitutional purposes in NFIB v. Sebelius (2012). In the Court's view, a tax is an exaction at a moderate level, which is collected by the IRS and does not have a scienter requirement. CEAT, that will be effective until December 31, 2017, is the 10 percent additional levy on corporate income if the use of corporate retained earnings in the form of facility investment, wage increase and dividend payments fall short of a certain portion of corporate income for the concerned year. CEAT has been introduced as one of 'Three Packages for Boosting House Income' aimed at establishing a virtuous circle between corporate earnings and household income, with a view to enhancing investment and spurring lackluster private spending. Many scholars and entrepreneurs argue that CAET is a tax penalty because it actually penalizes large corporations that have been criticized by politicians for not spending their earnings enough to spur the domestic economic growth. This paper argues that CAET should be interpreted as a tax penalty, considering that certain corporate tax payers are indiscriminately levied based upon the facts that they have accumulated their earnings, not spending surplus money in the manner designated by the law. By applying the general constitutional criteria to evaluate whether CAET oversteps the normative limitation of tax, it is hard to determine that CAET is too excessive or that it infringes upon the relevant constitutional principles. However, there are some legislative problems on CAET. The 2014 tax reform, including CAET, had been devised to transform the Korean tax system as a pillar of national fiscal policy, playing an active role in boosting domestic demand. However, CAET has not proven so far that its introduction has any positive effects on boosting household income. The levy may be even discriminatory to corporations involved in overseas investment and equity investment as these types of investment are not the 'investment' deductible. Moreover, CAET imposes additional corporate tax burden on the corporations which should not be condemned for failing to satisfy its requirement. In conclusion, taking into account the legislative legitimacy of CAET and its suitability as a means to pursue the policy goal, it does not seem to be too excessive, but it does have certain defects in legislation, imposing additional tax burden on corporations and wielding a fair amount of influence on taxpayers' business decision-making. CAET is not a solution for our economy. If anything, it is a tax penalty that operates as sanction against a corporation even when accumulated earnings are necessary for its business survival. Therefore, this paper suggests that no legislative consideration to sustaining the CAET be given to extending the expiration of that tax provision on Dec. 31, 2017.;본 연구의 목적은 조세실체법상 세제로서 제재의 성질과 기능을 가지는 조세(이하에서는 이들 세제를 “제재적 조세”라 한다)의 개념 및 주요 내용을 검토하고 그 규범적 한계는 어떻게 되는지를 밝히는 데에 있다. 그리고 제재적 조세의 대표적 사례로 법인세법 제56조의 기업의 미환류소득에 대한 법인세(이하 “기업소득 환류세제”라 한다)를 선정하여 이를 중심으로 앞에서 살펴본 일반론을 적용하여 해당 입법에서 고려 가능한 쟁점을 구체적으로 살펴본다. 제재적 조세란, 유도적 조세의 하부개념으로 특정 대상이나 행위가 바람직하지 않다고 보아 이를 억제하는 것을 목표로 하여 조세를 부과하는 세제로 정의해 볼 수 있다. 제재적 조세는 특정 대상이나 행위를 장려하기 위한 조세우대조치와는 상반되는 개념이다. 제재적 조세에서는 특정한 정책목표와 관련하여 억제하고자 하는 대상이나 행위가 과세대상으로 특정되며, 일단 과세대상이 되면 그에 대한 불이익으로 세금이 부과되는데, 해당 세금은 과세상 불이익으로 상정된 정책목표의 실효성 확보를 위한 일종의 제재로 기능하게 된다. 제재적 조세의 성격상 대부분의 경우 납세의무자에 대하여 비난가능성이 입법적으로 전제된다. 본 논문에서는 우선 연구대상인 제재적 조세의 개념 및 관련 헌법상 원칙은 논하는데, 이와 관련하여 제재적 조세의 개념요소인 '조세'와 '제재'가 무엇인가를 정의하고 그 주요 내용을 각 검토하며, 제재적 조세의 한계 논의를 위한 이론적 전제로서 조세의 입법원칙 및 제재의 입법원칙도 함께 살펴보았다. 헌법재판소는 일찍이 제재수단으로 사용되는 조세에 관심을 가지고 그 제재적 성격에 착안하여 위헌심사를 행한 바 있다. 명의신탁 증여의제 사건이 대표적인 사례이며, 그 외에도 세금계산서의 부실기재에 대한 매입세액 불공제 및 사업자등록 전의 매입세액 불공제 사건, 그리고 업무무관 가지급금 관련 지급이자의 손금불산입 사건도 헌법재판소가 심판대상이 된 조세의 제재적 성격을 인정하고 그 전제에서 심사 · 판단한 사례에 해당한다. 헌법재판소의 관련 사례에서 제재적 조세의 규범적 한계 판단을 위한 심사기준을 도출해 보면, 제재적 조세의 '조세'라는 성격에서 비롯되는 한계를 심사하는 기준으로는 조세법률주의, 조세공평주의, 실질과세원칙, 그리고 체계정당성의 원리를 고려해 볼 수 있다. '제재'라는 성격에서 비롯되는 한계의 심사기준으로는 과잉금지원칙(비례원칙), 자기책임의 원칙, 적법절차원칙, 그리고 이중처벌금지원칙을 들 수 있다. 다만 판례와 다수설은 적법절차원칙이 형법상 형벌에만 적용되며, 이중처벌금지원칙 또한 형벌의 병과의 경우에만 고려될 뿐 제재적 조세와 가산세의 병과 등에는 적용되지 않는다는 입장이다. 한편, 제재적 조세의 한계를 판단하는 문제는 우리나라의 문제만은 아닌 것으로 보인다. 제도상의 차이는 있지만, 미국에서는 연방의회가 규제 목적으로 조세입법을 통하여 주의 자치사항에 개입하고자 한 경우, 법원에 의하여 그것이 지나치게 과도하여 사실상 벌금에 해당한다고 판단되면 그 입법은 무효화된다. 비록 1930년대 중반 이래로 현재까지 미연방대법원이 연방의회의 조세입법을 무효화한 사례는 찾아볼 수 없지만, Child Labor Tax Case에서 정립한 조세와 제재의 구별기준은 여전히 유효하며 2012년 NFIB v. Sebelius 사건에서 이를 인용하기도 하였다. 다음으로, 본 논문에서 기업소득 환류세제를 논의의 주요 소재로 선택한 이유는, 기업소득 환류세제가 비교적 최근에 도입된 세제로서 도입 과정에서 정부, 재계 및 경제학 등 학계의 관계자들이 그 징벌적 성질 여부에 대하여 여러 가지로 논하면서도 실제로 그러한 성질을 가지는 조세라는 것이 무엇인지에 대한 연구가 많지 않기 때문이다. 적어도 어떠한 조세제도가 징벌적 성질을 가지고 있다거나 제재수단으로 사용되기 때문에 문제가 있다는 점을 논하기 위해서는 그 의의와 성격을 정확히 규명할 필요가 있다고 생각한다. 기업의 적정유보초과소득(법문상 “미환류소득”라고 한다)에 대하여 추가 법인세를 과하는 기업소득 환류세제는 내수경제의 활성화라는 정책목적을 위해 특별히 마련된 세제로 제재적 성격을 가진 조세라고 판단된다. 이 세제는 기업이 잉여금을 투자, 배당 등에 사용하지 않은 채 사내에 유보해 두기만 함으로써 국가경제의 활성화에 지장을 초래하고 있다는 부정적 인식에 바탕을 두고 고안된 제도이다. 기업이 향후 발생하는 이익을 투자·임금증가·배당 등으로 사용하지 않을 경우 추가 과세함으로써 소득의 일정수준 이상을 인건비·투자 등의 재원으로 사용하도록 유도하는 기능을 수행한다. 기업소득 환류세제는 단순한 투자 촉진에서 더 나아가 가계소득 증대를 통한 거시경제의 선순환을 제고하고자 하는 정부의 정책적 노력의 일환이며, 거시경제의 구조개선을 위한 적극적인 정책수단으로 조세를 이용하는 새로운 시도라는 점에서 의의를 가진다. 기업소득 환류세제는 그 자체로 지나치게 과도한 제재수단이라고 볼 수는 없으므로 그 자체로 헌법에 어긋난다고 단언하기는 어렵다. 그러나 이 제도는 추가 법인세의 불이익을 제재수단으로 이용하여 기업의 자율적인 사업상 의사결정을 제한하는 문제점이 있다. 또한 기업소득 환류세제는 도입당시의 정책목표였던 내수경제 활성화, 즉 기업소득이 가계소득으로 순환되는 효과를 실제로 내고 있는지도 검증되지 않고 있으며, 오히려 법인의 재무상황이나 생산적 기업활동을 위축시킬 가능성에 대한 우려가 적지 않다. 설사 기업소득 환류세제가 원칙적으로 헌법에 어긋나지 않는다고 하더라도 조세법률주의, 과잉금지원칙, 자기책임의 원칙, 그리고 체계정당성 측면에서 일정한 입법적 문제가 존재한다고 판단된다. 따라서 기업소득 환류세제가 한시법으로서 원래 예정한 3년의 유효기간이 종료하면, 더 이상 그 효력을 연장하지 말고 그대로 실효시키는 것이 법인세 제도의 명료성, 투명성 및 예측가능성 측면에서 합당하다고 본다. 결론적으로, 제재적 조세의 도입은 그 제재적 성격을 고려할 때 지양해야 한다고 생각하며, 도입한다고 하더라도 정책 목적의 달성을 위하여 필요한 범위 내에서 최소화할 필요가 있다고 본다. 즉, 제재적 조세를 정책목적 달성을 위한 수단으로 부득이 도입한다 하더라도 해당 세제가 '조세'와 '제재'의 입법원칙에 어긋나는 것은 아닌지에 대하여 사전에 충분한 검토를 행하는 등 그 제도화에 있어 신중한 접근을 요한다.
