Abstract
본 연구의 목적은 공공기관의 경영성과가 CEO 교체에 어떠한 영향을 미치고 있는지 분석하고 이와 더불어 지배구조가 이 둘의 관계를 강화 또는 약화시키는 조절 작용을 하는지 알아보고자 하는 것이다. 공공기관에 대한 기업 투명성과 효율적인 경영에 대한 요구는 지속적으로 제기되고 있지만 공공기관을 대상으로 한 선행연구가 많지 않을 뿐만 아니라 CEO 교체에 관한 연구는 거의 없어 그 필요성이 점점 증대되고 있다. 따라서 본 연구에서는 정부가 공공기관으로 지정한 공기업과 준정부기관 102개를 대상으로 2011년부터 2013년까지의 자료를 대상으로 경영성과가 CEO 교체에 미치는 영향과 이 둘 간의 관계에서 지배구조의 조절효과를 분석하였다. 경영성과의 대리변수로서 기업성으로 대표되는 ROA(총자산수익률)와 공공성도 함께 반영하고 있는 경영실적평가점수를 사용하였으며 분석결과는 다음과 같다. 첫째, 전체 공공기관을 대상으로 분석한 결과, 경영성과 지표 중 경영실적평가점수가 CEO 교체와 유의한 부(-)의 관계에 있는 것으로 나타났다. 즉 경영실적평가점수가 낮을수록 CEO 교체 가능성이 높아진다는 것을 의미한다. 둘째, 공공기관의 유형에 따라 공기업을 시장형 공공기관으로, 준정부기관을 비시장형 공공기관으로 구분하여 분석한 결과, 시장형 공공기관의 경우 ROA와 경영실적평가점수 모두 CEO 교체와 부(-)의 관계에 있는 것으로 나타났다. 즉 시장형 공공기관의 경우 ROA와 경영실적평가점수가 낮을수록 CEO 교체 가능성이 높아지는 반면에, 비시장형 공공기관에서는 경영성과에 따른 CEO 교체는 유의한 영향을 미치지 않는 것으로 나타났다. 따라서 이 결과는 기업을 통제하는 변수로서 ‘시장’의 역할이 중요함을 암시하고 있으며 이것이 특히 CEO 교체에 있어 정권 교체 등 다른 외적인 변수들이 많이 존재하는 공공기관에서‘시장’의 역할이 제대로 작동하고 있음을 보여주어 시사점을 제시하고 있다. 셋째, 경영성과와 CEO 교체 간의 관계에 있어서 지배구조가 조절효과가 있는지 분석한 결과, 경영실적평가점수와 CEO 교체 간의 관계에서 국회 지적사항만 조절효과가 나타나 지배구조가 미치는 영향은 미미한 것으로 나타났다. 이와 같은 결과는 정부가 대리인 역할을 하고 있는 공공기관의 특성상, 정부가 이미 지배구조로서의 역할을 대체하고 있기 때문에 지배구조가 경영성과와 CEO 교체 간의 관계에 있어서 직접적인 역할은 크지 않은 것으로 생각된다. 따라서 본 연구는 공공기관을 대상으로 하여 경영성과에 따른 CEO 교체를 실증분석 하였으며 공공기관의 방만경영에 대한 끊임없는 문제 제기와 이에 대한 해결을 요구하고 있는 추세와 맞물려 제도적인 시사점이 있다고 할 수 있겠다. 또한 시장형 공공기관에서의 경영성과가 CEO 교체에 부(-)의 영향을 미친다는 분석 결과는‘시장’역할의 중요성을 암시하며 앞으로 공공기관이 나아가야 할 미래지향점을 제시한다. 마지막으로 경영성과와 CEO 교체 간의 관계에서 지배구조의 조절효과가 미치지 않는 점은 공공기관의 특성상 정부가 이미 지배구조 메커니즘을 대체하고 있는 것으로 판단되어 이에 대한 이론적 근거와 심도 깊은 연구가 향후 이루어 질 것으로 기대된다.;The purpose of this study is to analyze influence of the performance of Korean state-owned enterprises on turnover of their CEO and to examine whether their corporate governance strengthen or weaken (moderate effect to) correlation between performance and CEO turnover. While the requirement of transparency and effective management for the state-owned enterprises has been continuously raised, there have been a few preceding studies on them and even few on their CEO turnover so far. Under this circumstance, there is a growing need for more studies on the above-mentioned subject. This paper uses the three year (2011 to 2013) samples of 102 firms of designated as public enterprises by Korean government in order to analyze influence of performance of Korean state-owned enterprises on turnover of their CEO and moderating effect of their corporate governance. And also the paper uses ROA and management result evaluation whose criteria includes public interest as proxy variables of performance. The analysis results are follows. First, the results of analysis from a whole sample show that management evaluation has significantly negative relationship with the CEO turnover of state-owned enterprises. In other words, there is higher possibility of their CEO turnover in case that the management evaluation is lower. Second, when public institutions are classified into two types: 1. market oriented enterprises (state-owned enterprises) and 2. non-market oriented institutions (government agencies), the analysis results show that both ROA and management evaluation negatively correlate with CEO turnover in case of market oriented enterprises. Therefore, this result implies that market plays a important role as a variable to control enterprises and also works well for the state-owned enterprises of which CEO turnover are influenced by a lot of external variables such as regime change. Third, when the paper analyzes how corporate governance affects the correlation between management performance and CEO turnover, the analysis results show that there is a few regulation effect only in case inspection of the administration conducted by the National Assembly, indicating that corporate governance has little effect. This result is attributed to the fact that government has already substituted for the corporate governance of state-owned enterprises. Therefore, this study which analyzes correlation between state-owned enterprises' CEO turnover and their performance provides institutional implication in terms of the fact that the solution for the state-owned enterprises' reckless management problem has been currently required. Furthermore, the result of negative effect of performance in market oriented enterprises on CEO turnover implies the significance of market role and suggests state-owned enterprises' future orientation. Lastly, considering that there is little influence of corporate governance on the relationship between state-owned enterprises' CEO turnover and their performance, we could assume that corporate governance of state-owned enterprises has been already replaced by government and more in-depth studies are anticipated in the future. is expected that.
