A Study on Stock Option Plans in Korea

Abstract

변화와 발전을 추구하며, 한국 기업이 경쟁적으로 앞 다투어 해외의 앞선 경영 기술을 도입하려고 애쓰고 있다. IMF 체제하에서, 전래 없는 도전을 겪으며 기업들이 깨달은 것은 외형에만 치중하던 방식에서 탈피, 가치에 근거한 경영으로의 패러다임의 변화가 필요하다는 것이다. 이러한 절실한 구조조정의 일환으로서, 가치에 근거한 보상제도를 수립하는 데 많은 노력들이 모아졌다. 즉, 기업의 관심들이, 임직원의 성과를 보상 제도와 기업 목표에 연결시킬 수 있는 새로운 시스템의 구축으로 모아지고 있다. 스톡 옵션(주식매입선택권)에 대한 관심이 한국 기업들 전반에 급속하게 퍼지고 있다. 우수 인력을 유치, 동기부여, 유지시킬 수 있는 제도가 바로 스톡 옵션이다. 스톡 옵션 자체에 잘못이 있지는 않다. 문제는 어떻게 이 제도가 실행되는냐 하는 것이다. 각 기업들은 스톡 옵션의 실행사, 기술적 문제 뿐 아니라, 그 기업의 고유한 특성과 문화, 그 당시 기업이 처한 경제적 상황들을 고려하여 탄력적으로 실행해야 한다. 한가지 더 짚고 넘어가야 할 것은, 스톡 옵션의 실행 시 정부의 스톡 옵션 실시에 대한 법적인 준비가 충분히 이루어져 있어 기업들이 원활하게 이를 적용할 수 있도록 뒷받침할 수 있어야 한다는 것이다.;Korean companies are struggling to pursue change and development, competitively introducing advanced management skills and tools from world leading countries in managing and implementing those skills and tools. Companies have realized that they should change the management paradigm from the old size-based to the new value-based management, experiencing ever-increasing challenges under IMF supervision. As one part of this urgent restructuring, a lot of effort has been made to build compensation system based on value. In other words, companies' interest is toward incentive-based system that links employees' performance to pay and company goals, not to fixed pay. Stock option plans, as an attractive compensation method, are being spread rapidly over Korean companies. Stock option is the plan that attracts, motivates, and retains elite work force, which all companies hope. There is nothing wrong with the original idea of Stock option plan itself. However, the key is how to implement it with flexibility. When implementing stock option plans, company should consider not only technical aspects of stock option plans but also corporate's own culture and uniqueness, economic situation that the company is currently facing. One more thing is preparation in terms of the government by laws in order for stock option plans to be introduced with the least conflicts, and to be implement smoothly.
