Abstract

기업간 인수 및 합병은 규모의 경제 실현을 통한 생산성 향상과 기업구조조정의 수단으로서 관심의 초점이 되고 있다. 동시에 기업간 결합은 상응하는 비용과 위험을 내재하고 있으며, 많은 경우 비용절감을 통한 성장과 주주이익 창출에 실패할 수 있다. 특히 경영진의 비효율적 대응은 의도했던 시너지 효과를 실현하지 못하는 주된 원인이다. 본 논문의 목표는 인수 합병에 이르는 과정을 심도 있게 다루는 것이다. 우호적 M&A는 새로운 가치창출을 위해 해당 기업간의 자발적인 전략, 제휴과정을 통해 이루어지는 반면 적대적 M&A는 피인수기업 경영진의 동의 없이 강압적으로 주식을 인수하는 것으로 비효울적 경영진을 퇴출시키는 긍정적인 면과 함께 피인수기업경영진의 경영권 방어 과정에서 대리인비용과 소유구조의 문제점을 내포하고 있다. 본 논문은 이러한 요소들을 면밀하게 분석함으로써 구체적 사례와 함께 인수동기, 대상기업 선별 및 가치평가 등을 포함한 성공적인 인수 합병 과정과 효과에 대한 방향을 제시하고 있다.;Global merger activity is at an historical high as a main tool to offer firms a short cut to their strategic objectives in terms of improving the efficiency and streamlining the entity itself, but the process has its cost. In many cases mergers fail to deliver superior returns to shareholders and operational cost reduction. This holds true when the synergic effects do not materialize due to unskillful management. The aim of this paper is to go over the entire M&A process in depth. In this paper I draw on research in the area of (1) the mix and ownership distribution of the firm's structure, (2) agency costs, and (3) the difference between strategic and hostile takeovers. By tying together elements of the theory of these areas, the analysis casts lights on and has implications for a successful model, encompassing the proper steps to the deal and the function as a market for structure. In addition, I research the empirical cases on the causes and consequences of merger activity starting with establishing an acquisition motive, continuing with the identification and valuation of a target, following up with structuring and paying for the deal, and finally strategies for making the acquisition work after the deal is consummated.
