株式의 讓渡에 관한 硏究

Abstract

株式會社는 그 社團的 開放性과 資本團體的 特性을 가진 典型的인 物的會社이다. 따라서 社員인 株主의 自由로운 地位交替와 投下資本의 圓滑한 回收의 保障이 必須的으로 要請된다. 이러한 要請에 부응하여 확립된 것이 柱式讓渡自由의 原則이다. 이 株式讚渡自由의 原則은 株主의 有限責任原則과 함께 株式會社法의 基本原理이다. 本 論文에서는 株式의 護渡에 관한 문제점을 硏究해 봄으로써, 株式會社의 발전과 大衆株主의 偏護를 그 目的으로 한다. 商法은 1963年에 施行된 以來 20年만에 처음으로 1984年3月17日 改正되었다. 改正商法은 금년 9月1日부터 施行된다. 따라서 本 論文은 現行商法上의 株式의 讓渡에 대해서 살펴보면서,改正된 內容에 대해서도 檢討해 보고자 한다. 이와같은 견지에서 우선 株式讓渡의 意義 및 讓渡自由性을 論하고, 株式讓渡自由의 原則에 대한 制限에 관해서 學說·判例를 중심으로 살펴보고자 한다. 끝으로 株式讓渡의 方法에 대해서 살펴보면서 結論을 맺었다.;The stock company is a typical material company characterized by its corporative openness and the nature of the capital organization. Therefore there should be a freedom of position rotation among employees as shareholders, and a guarantee of smooth withdrawal of their invested capital. To meet this need, there has been established a fundamental rule of the Freedom of share Transfer. This The Freedom of Share Transfer Principle as well as shareholders' limited liability are the basic rules of stock companies. The purpose of this thesis to dedicate to the development of the stock company and to the protection of public capital by approaching problems of share transfer. The Commercial Law was first amended in Marchl 17th, 1954 since it has come into effect in 1963. The new revised Commer-cial Law will be effective on September, 1, this year. In this thesis, I will investigate the problems of the share Transfer in the light of existing Commercial Law as well as revised on. In this this point of view, I will first try to discuss the significance of the share tra nsfer and the freedom of transifterand then the limitations to the freedom of share transfer principle in various theories and judical precedents. Finally, I will discuss the ways of share transfer in the contlusion.
