dc.description.abstract새 천년 세계 경제계의 화두는 단연 인수합병(M&A) 이었다. 본 논문은 세계 최대의 인터넷 서비스 업체인 아메리카온라인(AOL) 과 거대 미디어 그룹인 타임워너의 인수합병에 대해서 고찰을 하고자 하였으며, 이를 통해서 미이어와 인터넷 분야에서의 앞으로의 변화 가능한 방향을 예측해보고자 하였으며, 또한 이번 인수합병에 따르는 양 회사의 이익을 살펴보고자 하였다. 2000년은 특히나 이 두 회사의 합병 발표를 신호탄으로 시작하여 국경을 초월한 기업간 짝짓기가 봇물을 이루었다. 이러한 인수합병의 분야는 제약, 인터넷, 정보통신, 금융, 에너지, 자동차 등 산업 전 부문에 걸쳐 확산되었다. 올해 기업간 짝짓기는 과거처럼 단순히 규모의 경제를 실현한다거나, 시장경쟁의 승자가 패자를 취하는 약육강식의 의미를 넘어 무한 경쟁에서 살아 남기 위한 승자와 승자간의 결합 이란 새 흐름을 보였다. 미국 공정거래위원회나 유럽연합 집행위가 반독점 문제로 제동을 걸기도 하였다. 특히 이 논문주제의 고찰을 통해서 앞으로도 계속하여 정보통신 부문을 중심으로 굵직굵직한 인수합병이 활발히 이뤄질 것으로 감히 예측하는 바이다. ; The purpose of this thesis is to provide an insight into the recent trend of mergers and acquisitions (M&A) in the field of the Internet and media businesses, using the case of the merger between America Online and Time Warner in the US. The merger of AOL and Time Warner is the symbol of the union of old and new media. The main purpose of this merger is to make more money for shareholder and, finally the new entity is aimed at serving the public interest. This thesis is arranged in five parts: first, to analyze the trend of the merger between old media and new media in this existing circumstances of media and internet economy; second, to provide background of this merger between America Online and Time Warner, showing the information of the both companies and to suggest the reasonable factors for the agreement of the merger; third, to analyze benefits or gains of this merger case; fourth, to mention what is the current situations in order to successfully wrap up the process of the merger; finally, to suggest prospects from the merger, providing prospects relating broadband and the merger as well as general prospects on the merger. The deal is set to transform media and Internet industries worldwide, and analysts expect that it will trigger a spate of similar old media/new media tie-ups. Also, this combination has served as a wake-up call to many conventional media groups that in order to compete, they would need to have powerful, multi-market offering of old and new media. After all, the Internet is young and still evolving quickly. But there are negative views on this: this merger model certainly looks advantageous now, but it may not be the right model in two years.-
