기업 인수 및 합병 시 정보시스템 통합성과 결정요인에 관한 탐색적 연구 : D사와 S사의 합병 사례를 중심으로

Abstract

조직에서의 정보기술 사용이 증가하고 정보시스템이 기업의 필수 요소로 자리잡아 감에 따라 성공적인 기업 인수 및 합병을 수행하기 위한 성공적인 정보시스템 통합의 필요성이 대두되고 있다. 최근 몇몇 학자들에 의해서 기업 인수 및 합병 시 정보시스템 통합에 관련된 연구가 수행되었다. 그 결과 정보시스템 통합 성과에 영향을 미칠 수 있는 요인으로 정보기술 측면 외에도 조직 문화적인 측면과 전략적 계획 차원이 중요한 역할을 수행한다는 결론이 도출되었다. 그러나 국내 기업의 경우 기업내의 정보시스템 통합의 절차나 기업 인수 및 합병의 목적이나 수행 형태가 외국 기업과는 상당한 차이를 보이고 있어, 기존 학자들의 연구 방법과 연구 결과를 그대로 적용하는 데에는 한계가 있을 것으로 판단되었다. 이에 본 연구에서는 기존 학자들의 연구 결과가 그대로 국내 상황에 적용되는지를 살펴보고 새롭게 한국적 상황에서 기업 인수 및 합병 시 정보시스템 통합 성과에 영향을 미치는 요인을 도출하고자 하는 목적으로, 기존 학자들의 선행연구를 기반으로 MIT의 스키마를 연구 프레임워크로 하여 전략적 측면, 프로세스적 측면, 조직적 측면, 인적자원 측면, 정보기술 측면 등 5가지 차원에서 국내 대기업간의 최초의 자율적인 합병 사례인 D사와 S사의 정보시스템 통합 수행 과정을 관찰하고 분석하였다. 본 연구 결과 기업 인수 및 합병 시 정보시스템 통합 성과에 영향을 미치는 요인으로 5가지 차원의 13개 요인과 각 요인에 대한 결론적인 14개의 명제가 도출되었다. 첫째, 전략적 측면에서는 기업의 인수 및 합병의 목적 및 형태와 현업부서와의 파트너쉽이 중요한 성과 결정 요인으로 도출되었다. 둘째, 프로세스 차원에서는 원활한 업무의 인수 인계, 일반 비즈니스 업무간의 운영방식의 통합이 성과 결정 요인으로 도출되었다. 셋째, 조직적 차원에서는 합병 기업간의 조직 문화적인 차이, 성과 및 보상체계의 변화, 변화관리, 조직의 규모가 성과 결정 요인으로 파악되었다. 넷째, 인적자원 측면에서는 적절한 정보시스템 인원의 선택과 아웃소싱 형태가 성과 결정 요인으로 파악되었다. 정보기술 측면에서는 통합 전 자사 내 정보시스템의 통합 정도, 합병 기업간의 정보시스템의 호환성, 새로운 정보시스템 표준화 추진이 성과 결정 요인으로 도출되었다. 본 연구결과 기존 학자들의 성과 결정 요인들이 한국적 상황에서도 부분적으로 적용되고 있음을 확인할 수 있었으나 그들의 연구에서는 중요하게 파악되지 않았던 프로세스적 측면과 인적자원 측면이 국내 상황에서는 정보시스템 통합 성과에 더 큰 영향을 미치는 것으로 파악되어 국외의 여건과는 다른 양상을 보이고 있었다. 따라서 국내 상황에서의 기업 합병 및 인수 시 성공적인 정보시스템 통합을 수행하기 위해서는 전략적측면, 조직적측면, 정보기술 측면 보다는 상대적으로 인적자원 측면과 프로세스적 측면의 성과 요인들에 더 중요성을 부여할 필요가 있다. 본 연구의 결과를 토대로 기업간 구조조정이 빈번한 현 국내 상황에서 기업 합병 후 정보시스템 통합을 수행하는 기업들에는 어떠한 조직적인 노력을 기울여야 하는지를 인식시켜 주었고, 연구자들에게는 기업 인수 및 합병 시 정보시스템 통합에 관련한 연구의 지침을 제시해 주었으며 본 연구에서 제시한 성과 결정 요인들이 실제로 정보시스템 통합 과정에서 중요한 영향을 미치는가에 대한 향후 실증 연구를 진행할 수 있을 것으로 기대된다. ; Effectively integrating information systems in mergers and acquisitions of large organizations can be critical to merger success. But the general literature on mergers and acquisitions focuses on the financial aspects of the acquisition process, rather than on the subsequent process of integration. This paper analyses a case study of information systems integration in a merger of two Korean manufacturing organizations, and explores the factors influencing information systems integration in mergers and acquisitions in Korean. Given the paucity of organizational research in this area of information systems integration in mergers and acquisitions, an exploratory research approach was chosen, with the integration of grounding theory development in the detailed case study. In this literature, integration processes and problems in mergers and acquisitions are usually addressed as MIT’90s schema by Scott Morton. This Framework consists of five components: 1) strategy dimension, 2) processes dimension, 3) structure dimension, 4) individuals/roles dimension, 5) technology dimension. From the result of a case study, I found thirteen factors influencing information systems integration performance in mergers and acquisitions in Korean companies. The factors are as follows: - The object and type of mergers and acquisitions - Partnership between IS and business organizations - Transfer of jobs without interruption - Integration of business process - Organizational culture difference between merger organizations - Change of reward level - Change management - Company size - Appropriate selection of IS experts - Outsourcing type - Information systems compatibility - New standardization of information systems The results of this study show that processes and individuals/roles dimension are more important than dimensions of strategy, structure, technology in Korean. This research helps the company to avoid mistakes and to manage information systems integration in mergers and acquisitions. And this study for researchers, provides deeper interest in this area and the guide line for further researches.
