미-중간의 에너지 갈등과 미국 의회의 역할

Abstract

It has become a common interest of lots of countries to secure oil energy resources, suffering from two oil crisis in 1970s. Especially entering the 21st century, the oil prices began to rise because the oil supply could not meet the rapidly increasing demand for oil. The price increase of oil made America and China, which were the first and the second oil import countries, establish an aggressive and active energy strategy for securing oil. America and China attempted to make an overseas investment in procuring oil, focusing on the areas where there was an abundant amount of oil such as Africa, the areas in South America and etc. Eventually, the strategic areas of the two countries, America and China, started to coincide and it caused conflicts over the secure of energy resources between the two countries. The purpose of this study is to analyze the role of the U.S. Congress in the conflict patterns of energy benefits between America and China. For this, I will study the case of the China’s national oil company ‘CNOOC’s attempt to take over the U.S. oil company ‘Unocal’ which ran for about 2 months from June, 2005 to August, 2005. I will also try to figure out the reason why the U.S Congress restrained the CNOOC’s takeover bid for Unocal and analyze the role of Congress through observing the America’s legislative procedure for impeding the takeover. The purposes of this study are as follows; Firstly, I will look into the strategies for acquisition and the major strategic areas in the oil sector between America and China. I am also going to examine the current situations in which energy conflicts are getting fiercer between the two countries. Secondly, I will analyze what kinds of roles the U.S. Congress played to restrain the CNOOC’s takeover bid for Unocal. By this process, I would like to prove that the intervention of the U.S. Congress was the decisive reason for takeover failure. Thirdly, I will analyze the critical recognition that the U.S. Congress had against the CNOOC’s takeover offer for Unocal. For this, I am going to look into the bill related to the Unocal case and the primary sources of the statements the Senators and representatives made in the minutes which has the record of the discussion process of the resolution. What I try to claim through this research is that America considered the emergence of China danger and the case that the U.S. Congress stopped the CNOOC’s attempting to take over Unocal was not just one of the many kinds of M&A failing cases among foreign companies. This thesis would like to indicate that the U.S Congress stopped the takeover plan at the national level owing to the energy security issues and ‘China threat’ that was prevalent in America.;1970년대 2차례의 석유 파동을 겪으면서 석유 에너지 자원의 안정적인 확보는 여러 국가들의 공통의 관심사가 되었다. 특히 21세기에 접어들면서 전 세계적으로 급증하는 석유 수요량을 공급량이 뒷받침해주지 못하면서 석유의 가격이 상승하기 시작했다. 석유 가격의 상승은 석유 수입국 1위와 2위인 미국과 중국으로 하여금 석유의 안정적인 확보를 위해 적극적이고 공격적인 에너지 전략을 세우게 만들었다. 미국과 중국은 석유가 비교적 풍부한 아프리카, 남아메리카 지역 등을 중점으로 석유 확보를 위한 해외 투자를 시도하였다. 시간이 흐르면서 양국의 에너지 확보 전략 지역이 겹치기 시작했고 미국과 중국은 에너지 자원의 확보를 두고 갈등상태가 발생하였다. 본 연구의 목적은 미국과 중국의 에너지 이익 갈등 사례에서의 미국 의회의 역할을 분석하는 것이다. 이를 위해 2005년 6월부터 같은 해 8월까지 약 2개월 동안 진행되었던 중국 국영 석유 기업인 중국해양석유총공사(CNOOC)의 미국 석유 기업 유노컬(Unocal)의 인수 시도 사례를 연구한다. CNOOC의 유노컬 인수 시도에 대한 미국 의회의 저지 이유에 대해 파악하고, 미국 의회가 인수 과정에서 보인 CNOOC의 인수 저지 입법 과정을 통해 의회의 역할을 분석할 것이다. 본 연구의 주제는 다음과 같다. 첫째, 미국과 중국 간의 석유 부문에 있어서의 획득 전략과 주요 전략 지역을 살펴보고, 양국의 에너지 갈등이 심화되고 있는 현황에 대해 살펴본다. 둘째, 미국 의회가 CNOOC의 유노컬 인수를 저지하기 위해 어떠한 역할을 했는지 분석한다. 위의 사례에서의 의회의 역할을 분석하여 CNOOC의 유노컬 인수 과정에 있어서 미국 의회의 개입이 결정적인 인수 실패의 요인이 되었음을 증명하고자 한다. 셋째, 미국 의회가 가지고 있던 CNOOC의 유노컬 인수에 대한 비판적인 인식에 대해 분석하고자 한다. 이를 위해 유노컬 사건과 관련된 법안과 결의안의 논의 과정을 기록한 의사록의 상원 및 하원 의원들의 발언의 1차 자료들을 분석한다. 기업 간의 인수와 합병은 경제 영역의 일이다. 분명, CNOOC의 유노컬 인수 시도도 외국 기업 간의 인수 합병 논의로 경제적인 영역에 해당했다. 그럼에도 불구하고 시장의 자율성을 존중하는 것을 원칙으로 삼는 미국에서 의회의 정치적인 개입을 통해 외국 기업의 자국 기업 인수를 저지하고자 했다는 사실은 이 사례를 경제적인 관점으로만 접근해서는 이 과정을 충분히 이해하기 힘들다는 것을 말해준다. 때문에 미국 의회가 CNOOC의 유노컬 인수 시도를 어떤 정치적인 이유로 저지하려고 했는지 그 이유를 파악하고, 의회가 입법 과정을 통해 CNOOC의 유노컬 인수 시도를 저지하려고 했는지에 대해 정치적인 관점으로 이 과정을 파악하고 논의함으로써 사건의 이해에 대한 다양한 시각을 보완하고자 한다. 본 연구는 미국의 의회가 CNOOC의 유노컬 인수 시도를 부정적으로 파악하고, 이를 저지하기 위해 개입했다는 점에 주목하고자 한다. 기업 간의 인수, 합병 시도과정에서 미국 의회가 정치적인 개입으로 인수를 저지하려고 했다는 점에서, 미국 의회의 인수 견제 이유를 파악하고 의회의 개입 과정을 분석하여 미국 정부가 CNOOC의 유노컬 인수 시도를 정치적으로 방해했음을 주장하고자 한다.
