Abstract
스톡옵션의 부여에 대하여 공정가치로 재무제표 상에 보상원가를 계상하도록 요구하는 국제회계기준의 요구와 합리적이고 신뢰할만한 정보를 요구하는 사회적 분위기 속에서 미 회계기준위원회는 2004년 12월 모든 주식기준보상 거래를 공정가치로 측정하여 재무제표 상에 반영하도록 하는 회계기준서 SFAS No. 123을 발표하였다. 우리나라도 현재 주식기준보상에 대한 회계기준서를 제정 중이며, 이는 국제회계기준 및 미국회계기준과 동일하게 모든 주식 기준 보상 거래를 공정가치로 측정하도록 요구할 것으로 예상된다. 스톡옵션은 일반적으로 시장에서 거래되는 옵션과 달리 권리확정기간(vesting period)이 존재하며 그 거래가 제한되어 있다는 중요한 특성을 지닌다. 따라서 스톡옵션은 현금의 필요성 또는 포트폴리오 분산 목적으로 만기 이전에 조기 행사되는 패턴을 보이게 되므로 일반적인 옵션가격결정모형을 통해 스톡옵션의 가격을 결정하는 데에는 한계점이 존재한다. 스톡옵션의 주요 특성을 반영하기 위하여 다양한 스톡옵션가격결정모형이 제시되고 있다. 미 회계기준위원회는 다양한 스톡옵션가격결정모형을 인정하고 있으며 스톡옵션의 공정가치를 측정하기 위해 요구되는 변수의 추정에 대한 지침만을 제공하고 있다. 본 연구에서는 현재까지 제시된 대표적 스톡옵션가격결정모형인 Black-Sholes 모델, Hull-White 모델, 효용극대화모델의 가격 결정 논리를 살펴보고 그 이론상 및 실무 적용상에 있어서의 장단점을 비교하여 보았다. 그리고 위험중립기대행사기간을 이용하여 기대행사기간에 대한 스톡옵션의 가격을 비교해 보았다. 그 결과 Hull-White 모델과 효용극대화모델은 거의 스톡옵션의 가격을 유사하게 예측하였다. 반면에 Black-Sholes 모델 하에서의 기대행사기간에 대한 스톡옵션의 가격은 Hull-White 모델이나 효용극대화모델 하에서의 스톡옵션의 가격보다 높게 나타났다. 본 연구에서는 스톡옵션을 가장 많이 부여한 국내 기업 중 하나인 삼성전자가 임직원에게 부여한 스톡옵션을 대상으로 실제로 비용처리한 금액과 Black-Sholes 모델과 Hull-White 모델 하에서 산출되는 스톡옵션의 보상원가를 비교하여 본 결과 삼성전자가 기대행사시점을 짧게 추정함으로써 보상원가를 작게 계상하였음을 파악하였다. 따라서 스톡옵션의 보상원가를 작게 계상하고자 하는 기업의 유인을 살펴보고 스톡옵션의 회계처리상 시사점을 제시하였다. 스톡옵션의 부여가 증가함에 따라 그 공시의 중요성이 부각되고 있고, 스톡옵션의 회계처리에 관련한 기업회계기준서가 제정 중인 현 시점에서 스톡옵션의 공정가치 평가 및 회계처리에 관하여 실무자들에게 지침을 제공하고 있다는 데에서 본 연구의 의의를 찾을 수 있다.;In December 2004, Financial Accounting Standards Board (FASB) released a Statement of Financial Accounting Standards on Share-based Payment. The FASB was to maximize the convergence of U.S. and international accounting standards for executive stock options. The Korea Accounting Standards Board (KASB) is also preparing for the publishment of Statement of Korea Accounting Standards on Share-based Payment, which is expected to be consistent with U.S. and international accounting standards that require the fair-market valuation of executive stock options. Executive stock options differ from standard exchange-traded options in important aspects, and several researchers have noted shortcomings of using traditional formulas to value executive stock options. Therefore several stock option pricing models have been proposed. However FASB has not established a standard model. This paper provides guidance to practitioners about the accounting issues and fair-market valuation of executive stock options. I investigated Black-Scholes model, Hull and White model and utility-maximizing model, and presented a comparison of the option prices obtained by using these models. Except the Black-Scholes model, pricing differences are negligible if the models are calibrated to the same expected life of the option. In addition, I also compared the compensation cost of the executive stock options of Samsung Electronics which is recognized in the financial statement and the option prices obtained by Black-Scholes model and Hull and White model. Samsung Electronics understate the compensation cost by estimating the expected life of the option shortly. I suggested the incentives of understatement of the compensation cost and addressed the practical accounting issues.
