dc.description.abstractRecently, the number of M&A cases between traditional brick-and-mortar companies and dot-com companies has been increasing substantially. In the middle of Internet era, traditional brick-and-mortar companies are required to seek a way of adopting digital devices to satisfy their customers. Dot-com companies are suffering from severe financial distress. To save cost and time to develop digital environment for brick-and-mortar companies, and to get financed for dot-com companies, M&A is a good strategic way in current market situation. This thesis deals with the research question of how the agency problem affects M&A deals in general by analyzing the case of Bertelsmann's acquisition of Napster in particular. Occurred in the mid of increasing trend of M&A deals between traditional companies and dot-com companies, this case presents several interesting issues. With the analysis of two companies' rationale for the pursuit of the M&A deal, 1 focused on the agency problems which was the root cause of the deal failure in this case. Under the current circumstances that the 'moral hazard' problems in Korean M&As are considered as more important issue after the financial crisis, and venture companies based on Internet business models are suffering from severe financial difficulties, M&A mechanisms are becoming more available option for their strategic decision making. In that sense, the brick-and-mortar and dot-com combinations through M&As provide valuable insights for Korean firms;최근 들어 전통적인 오프라인 기업 형태인 브릭 앤 모르타르(brick-and-mortar) 기업과 20세기 후반 성행하였던 인터넷을 기반으로 한 닷컴 회사들간의 제휴 및 인수 합병 사례를 많이 볼 수 있다. 온라인 영업망을 통한 사업의 성장을 원하는 전통적 기업들과, 수익을 창출하지 못하는 특수한 구조의 사업 모델과 닷컴 회사들에 흥미를 잃어버린 투자자들로 인한 자금 압박 문제로 어려움을 겪고 있는 닷컴 회사들이, 온라인과 오프라인의 통합을 통하여 각자의 약점을 보완하며 더욱 튼튼한 기업을 만들고자 인수 합병을 시도하고 있는 것이다. 이러한 인수, 합병의 과정에서 도덕적 해이(moral hazard)로 인한 대리인 문제(agency problem)가 발생하는 경우가 있으며, 이것이 전체적인 인수 합병사례에 미치는 영향은 매우 중요하다. 이 논문은 독일의 미디어 그룹 베텔스만의 미국의 닷컴 회사였던 냅스터 인수 사례 분석을 통해 온라인-오프라인 통합 전략을 추구하는 브릭 맨 모르타르 기업과 닷컴 회사들의 전략적 근거와 함께, 대리인 문제가 인수, 합병사례에서 끼칠 수 있는 영향을 다루고자 한다.-
